Before discussing a new business with an attorney, write down what the business will do, where it will operate, who will own it, and how the owners expect to make decisions. Note each owner’s expected contributions, responsibilities, and plans for resolving disagreements.

Gather any draft agreements, proposed business names, leases, customer or vendor contracts, and information about licenses or permits you believe may apply. If the business already exists, bring its formation documents and any current ownership or governance agreements.

The right structure and documents depend on the business, its owners, tax considerations, and applicable law. Forming an entity does not automatically eliminate personal liability or replace insurance, sound contracts, and required company practices.
